These Terms of Service govern your use of our services, including our application at https://app.rafftechnologies.com, our main website at https://rafftechnologies.com, our help center at https://help.rafftechnologies.com, all subdomains of https://rafftechnologies.com, and any other related services and platforms provided by the applicable Contracting Entity (as defined below) (collectively, "we," "us," or "our").

Contracting Entity

The entity you contract with depends on the billing address associated with your account:

Both entities operate under common ownership. Services, infrastructure, and support are shared. Your contracting entity is determined solely by the billing address on file. If your billing address changes, your contracting entity may change at the next renewal.

By accessing https://app.rafftechnologies.com or using our services, you agree to abide by these Terms of Service and comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or any of our services.

We reserve the right to review and amend these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes will take effect immediately from the date of publication.

1. Limitations of Use

By using our website and services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

• Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software contained on this website or provided through our services.
• Remove any copyright or other proprietary notations from any materials or software.
• Transfer the materials to another person or "mirror" the materials on any other server.
• Knowingly or negligently use our website or services in a way that abuses or disrupts our networks or any other service we provide.
• Use our website or services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material.
• Use our website or services in violation of any applicable laws or regulations.
• Use our website in conjunction with sending unauthorized advertising or spam.
• Harvest, collect, or gather user data without the user's consent.
• Use our website or services in a way that may infringe the privacy, intellectual property rights, or other rights of third parties.
• Create multiple accounts to circumvent usage limits or billing requirements.
• Use technical methods, including but not limited to VPNs, proxies, or device spoofing, to create multiple accounts for the same person or on behalf of the same organization.
• Engage in any form of account abuse, including coordinated account creation to exceed designated usage limits.

1.1 Account Restrictions

Each person and each organization is permitted only one (1) account for accessing our services. We employ automated detection systems to identify related accounts based on various factors including but not limited to device fingerprinting, usage patterns, billing information, and behavioral analysis.

We reserve the right to:

• Link accounts that we determine belong to the same person or are created on behalf of the same organization.
• Suspend or terminate all related accounts without prior notice if multiple account usage is detected.
• Collect and analyze account data, usage patterns, and device information for fraud prevention and security purposes.
• Share account violation information with law enforcement when required by law.

Attempts to circumvent these restrictions through any technical or non-technical means constitute a material breach of these Terms of Service and may result in immediate termination of all associated accounts and forfeiture of any credits or services.

1.2 Acceptable Use Policy

Your use of our services is also governed by our Acceptable Use Policy (AUP), which provides detailed guidelines on prohibited activities, fair use, and enforcement procedures. Violations of the AUP constitute a breach of these Terms of Service and may result in suspension or termination of your account.

2. Intellectual Property and Software License

The intellectual property in the materials contained on this website and provided through our services is owned by or licensed to the Contracting Entity and its affiliates and is protected by applicable copyright and trademark laws. We grant you a non-exclusive, non-transferable license to:

• Access and use the materials in connection with your use of our cloud computing services.
• Use our software solely for accessing the cloud computing services during your subscription term.

This license does not transfer title and shall automatically terminate if you violate these Terms of Service. We may also terminate this license at any time. You may not modify, reverse engineer, or distribute our software. All intellectual property rights in the software and services remain with us.

3. Payment Terms

3.1 Payment Modes

All cloud computing services are billed under a Subscription plan by default. Pay-As-You-Go (PAYG) billing is available only upon request and subject to eligibility approval. To inquire about PAYG eligibility, please contact our support team.

3.2 Subscription Plans

Subscription plans provide a fixed resource allocation billed upfront at the start of each billing period. The following plans are available:

(a) Monthly Subscription:

• Billed upfront at the beginning of each monthly billing period
• Automatically renews unless cancelled at least 1 day before the renewal date
• Early cancellation: Remaining unused days credited to your Raff account balance (see Section 8.2)

(b) Annual Subscription:

• Billed upfront at the beginning of the 12-month subscription period
• Discounted rate compared to monthly billing
• Early cancellation: Remaining period credited to your Raff account balance (see Section 8.2)

(c) 24-Month Subscription:

• Billed upfront at the beginning of the 24-month subscription period
• Best value pricing
• Early cancellation: Remaining period credited to your Raff account balance (see Section 8.2)

3.3 Pay-As-You-Go (PAYG)

Note: PAYG billing is not available by default. It is offered on a case-by-case basis to eligible customers upon request. To inquire, please contact our support team.

PAYG billing is based on actual resource usage with no upfront commitment or minimum period:

• Resources are billed by the hour based on actual usage
• An invoice is generated on the first day of the following month for the previous month's usage
• Payment is due upon invoice issuance
• Resources can be created and deleted freely at any time
• There is no minimum contract period or cancellation penalty

3.4 Payment Methods

(a) Credit/Debit Card:

• You may add a payment card for automated billing through our PCI-compliant payment provider
• Adding or maintaining a payment method is optional — you may remove it at any time
• If a card is on file, charges will be processed automatically at the applicable billing time
• Failed Charges: If a charge is unsuccessful, the outstanding balance is immediately due. Failure to settle the outstanding amount promptly may result in the application of late fees and potential suspension or termination of your access to the services, as outlined in Section 7 (Termination and Data Retrieval)
• Late Fees: A late fee of 3% per month (or the maximum rate permitted by law, if lower) may be applied to any unpaid balance remaining after an unsuccessful charge

(b) Bank Transfer (Prepayment):

• Available upon prior written agreement at our sole discretion
• Operates strictly on a prepayment basis — sufficient funds must be transferred before the start of the billing period
• You must promptly notify us upon initiating any transfer and provide proof of payment as requested
• Funds will be credited to your account balance upon confirmation of receipt by our bank; processing times may vary
• If your prepaid balance is insufficient to cover charges, your access to the services may be suspended

(c) Other Payment Methods:

• Any other payment arrangements require our explicit prior written agreement and will be subject to terms specified in that agreement

3.5 Taxes and Costs

You are responsible for all applicable taxes (such as VAT, GST, sales tax, or other governmental transaction taxes) and any currency conversion costs associated with your payments. Our fees are exclusive of these taxes unless expressly stated otherwise. We will apply taxes as required by law based on the information you provide.

3.6 Price Changes

We may change our pricing at any time. Price changes:

• Will be communicated via email at least 30 days in advance
• Will not apply to the current billing period
• Will take effect at the next renewal or billing cycle

3.7 Disputes and Non-Payment

Please refer to Section 8 regarding the process for reporting billing disputes. Consequences for non-payment, including suspension and termination rights, are detailed in Section 7.

4. Data Security and Privacy

We employ industry-standard encryption and access controls to safeguard your data. You retain ownership of all data you upload to our services. We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and Turkish Law No. 6698 on the Protection of Personal Data (KVKK), where relevant. We will not access your data except to provide the services or as required by law. Our data processing practices, including sub-processor details, retention periods, and international transfer mechanisms, are described in our Data Processing Addendum (DPA). For detailed information, please also refer to our Privacy Policy.

5. Compliance with Laws

You agree to use our services in accordance with all applicable laws, including data protection, financial, and export control regulations in the United States, and any other relevant jurisdictions. You are solely responsible for ensuring your use complies with such laws.

6. SMS and Communication Services

By providing your phone number and opting in, you agree to receive account verification codes, notifications, and informational text messages (if enabled) from Raff Technologies via SMS through our service provider, Prelude. You may opt-out at any time by replying STOP to any message. Message and data rates may apply. Message frequency will vary. We reserve the right to suspend SMS services for users who abuse or misuse these communication features.

7. Termination and Data Retrieval

7.1 Termination by Us

We reserve the right to suspend or terminate your access to our services if you breach these Terms of Service. For non-severe breaches, such as minor violations of our usage policies, we will provide you with 10 days' written notice via email, allowing you the opportunity to remedy the issue. For severe violations—including but not limited to illegal activity, non-payment of fees, or abuse of our resources—we may suspend or terminate your access immediately without prior notice.

7.2 Termination by You

You may terminate your account at any time by following the termination process outlined in your account settings.

Subscription Cancellation (All Plans):

• Cancel at least 1 day before your renewal date to prevent automatic renewal
• Service continues until the end of your current billing period
• Remaining unused days are credited to your Raff account balance on a pro-rata basis (see Section 8.2)

PAYG Cancellation:

• You may cancel at any time by deleting all resources and closing your account
• You remain responsible for all usage charges incurred up to the point of cancellation
• A final invoice will be issued for any outstanding usage

Upon termination, you remain responsible for paying all outstanding fees. Unused subscription portions will be credited to your account balance as described in Section 8.2.

7.3 Termination for Non-Payment

If you fail to pay outstanding fees by the due date, we will send you a written notice via email. You will have 7 days from the date of this notice to settle the outstanding amount in full. If payment is not received within this 7-day period, we may suspend your access to the services. If payment remains unpaid for 10 days after the initial notice, we may terminate your access entirely.

7.4 Data Retrieval Post-Termination

Upon termination of your account, regardless of the reason, you will have 20 days to retrieve your data using the tools provided in your account dashboard. After this 20-day period, we may delete your data from our systems, and we will not be responsible for any loss of data resulting from your failure to retrieve it within this timeframe.

7.5 Survival of Obligations

Any obligations or terms that, by their nature, should survive termination—such as payment obligations, intellectual property rights, liability limitations, and governing law—will remain in effect after termination.

8. Refund Policy and Billing Disputes

8.1 14-Day Money Back Guarantee (First Purchase Only)

Within the First 14 Days of Your First Purchase:

• You may request a full refund within 14 days of your first purchase per account.
• No reason required for the refund request.
• Refunds can be issued to:
  • Your original payment method (credit/debit card), OR
  • Your Raff account balance (as credit)
• This guarantee applies once per account — to the first subscription purchase only. Subsequent purchases, renewals, and upgrades are not eligible for the 14-day money-back guarantee.

How to Request:

• Submit a request through our Support channels or account settings within 14 days of your first purchase.
• Include your account information and preferred refund method.

8.2 Refunds After 14 Days - Account Balance Credit

After the 14-day period, if you cancel your subscription:

• No cash/card refunds will be issued
• The unused portion of your subscription will be credited to your Raff account balance
• Account balance can be used for future Raff services
• Account balance cannot be converted to cash or refunded to your card

Calculation Method (Subscription):

• Remaining days × daily rate = Account balance credit
• For annual/24-month subscriptions, the discount rate applied at purchase is factored into the calculation

Pay-As-You-Go (PAYG):

• PAYG charges are based on actual resource usage and are non-refundable

8.3 Items Not Eligible for Refund

The following are not eligible for refunds under any circumstances:

• The $1.00 payment method validation charge (added to your account balance, non-refundable)
• Domain name registrations
• SSL certificates
• Third-party licenses
• Custom configuration services

8.4 Billing Errors

We strive for accurate billing and tax calculation. If you believe there has been an error in your charge or in the tax calculation applied to your invoice:

• Reporting Errors: Use the "Contact Us" form located under the Support menu on our website. Provide details regarding the specific charge and the reason you believe it is incorrect.
• Review Process: We will investigate your claim within 7 days.
• Refunds for Errors: If our investigation confirms that a billing or tax calculation error occurred on our part, we will issue a refund for the incorrectly charged amount to your original payment method.

9. Service Level Agreement (SLA)

Our service availability commitments, uptime guarantees, and service credit policies are detailed in our separate Service Level Agreement (SLA). In case of any conflict between this document and the SLA, the terms of the SLA shall prevail with respect to service availability and service credits.

10. Liability

Our website and services are provided on an "as is" basis. To the extent permitted by law, we make no warranties, expressed or implied, and disclaim all warranties, including merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

We and our suppliers shall not be liable for any consequential loss arising from your use or inability to use our website or services, even if notified of the possibility of such damage. "Consequential loss" includes indirect loss, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, and similar losses.

Our aggregate liability for any claims arising from these Terms of Service or your use of the services shall not exceed the fees you paid in the 12 months prior to the claim.

We are not liable for data loss, service interruptions, or damages caused by your failure to comply with these terms.

Because some jurisdictions do not allow limitations on implied warranties or liability, these limitations may not apply to you.

11. Accuracy of Materials

The materials on our website are for general information purposes only and are not comprehensive. We do not warrant the accuracy, likely results, or reliability of these materials or any resources linked to our website.

12. Links

We have not reviewed all sites linked to our website and are not responsible for their contents. The inclusion of any link does not imply endorsement, approval, or control by us. Use of linked sites is at your own risk, and we advise you to investigate their suitability.

13. Dispute Resolution

Dispute resolution depends on your Contracting Entity:

If your Contracting Entity is Raff Technologies LLC: Any disputes arising from these Terms of Service shall be resolved through binding arbitration in Wyoming, USA, under the rules of the American Arbitration Association (AAA). You waive any right to participate in class action lawsuits.

If your Contracting Entity is Dynamis Teknoloji A.Ş.: Any disputes arising from these Terms of Service shall be subject to the exclusive jurisdiction of the Ankara Courts and Enforcement Offices, Republic of Turkey. Consumer customers retain their rights to apply to Consumer Arbitration Boards under Law No. 6502.

14. Force Majeure

We are not liable for delays or failures in performing our obligations due to events beyond our reasonable control, including natural disasters, cyberattacks (despite reasonable security measures), governmental actions, pandemics, or telecommunications failures. In such events, we will use commercially reasonable efforts to mitigate the impact and restore services as soon as practicable.

15. Right to Terminate

We may suspend or terminate your right to use our website and services in accordance with the procedures set out in Section 7 (Termination and Data Retrieval). We further reserve the right to terminate this agreement at any time, at our sole discretion, without notice or reason.

16. Severance

Any term of these Terms of Service that is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder is not affected.

17. Governing Law

These Terms of Service are governed by and construed in accordance with the laws applicable to your Contracting Entity as specified in the Contracting Entity table above. If your Contracting Entity is Raff Technologies LLC, the laws of the State of Wyoming, USA apply and you submit to the exclusive jurisdiction of the courts in Wyoming. If your Contracting Entity is Dynamis Teknoloji A.Ş., the laws of the Republic of Turkey apply and you submit to the exclusive jurisdiction of the Ankara Courts.
